Merger Proposal For Computer Horizons No Longer In Aquent's Best Interests

Boston, MA (November 19, 2003) – Aquent LLC, a privately held global professional services firm, today announced that, after evaluating the details disclosed by Computer Horizons Corp. (NASDAQ: CHRZ) regarding its acquisition of RGII Technologies, Inc., Aquent has concluded that its proposal to acquire Computer Horizons is no longer in Aquent’s best interests. Aquent remains committed to IT staffing and is pursuing other opportunities in the industry.

John Chuang, Chairman and Chief Executive Officer of Aquent LLC, said, “We are very appreciative of the many shareholders, employees and organizations that supported Aquent’s efforts to seek a merger with Computer Horizons. We thank our fellow Computer Horizons shareholders – the true owners of this Company – who, at this year’s Annual Meeting, overwhelmingly approved our Bylaw amendment to enhance the Board’s accountability and elected two new, independent directors, Robert Trevisani and Karl Meyer, to the Computer Horizons Board. All Computer Horizons shareholders are benefiting from their independence, insight and experience.

“Despite this level of support, Computer Horizons’ incumbent directors and management took a series of actions that made Computer Horizons a fundamentally different company today than it was when we first announced our proposal in April. We have carefully evaluated the information disclosed by Computer Horizons, including details of the RGII acquisition, and now believe that the proposed transaction is no longer in the best interests of Aquent. Aquent remains committed to the IT staffing sector and is well positioned to participate in the industry’s consolidation. We have strong financial resources and are pursuing other IT staffing opportunities."
